Abstract:
The literature on corporate governance covers a range of issues such as protection of
shareholders‟ rights, enhancing shareholders‟ value, Board issues including practices, the control
systems, in particular internal control systems. Banks have some unique features that make their
corporate governance different from, and more complicated than, that of other firms. For e.g.,
their balance sheets are not very transparent, they are highly leveraged, they typically have shortterm liabilities and longer-term assets, they are heavily regulated and have access to government
safety nets, and they are systemically very critical organizations. This paper seeks to identify the
major issues in corporate governance in banks in India and to provide suggestions for possible
action by the Reserve Bank of India as banking regulator. These issues relate to the composition
of the Board of Directors and the duties of members, the functions of the board, the committees
of the board, preventing abusive related party transactions and disclosures. The paper makes me
suggestions as to the role of the Reserve Bank of Indiain strengthening corporate governance in
Indian banks in the public as well as the private sector

norm of history, no such things ever could be restrained.
Internet is everywhere today and further expansion is the only possibility. And that makes the road ahead
very clear. Strive to make the expanse of internet as secure as it could possibly be.

“There are only two types of companies: those that have been hacked and those that will be. Even that is
merging into one category: those that have been hacked and will be again.”
There is some deep hidden truth in this respective statement of his. A world wide survey over companies

As may be seen from Annex-I, the claims lodged were very low. Only 470 claims
with aggregate amount of Rs. 39.15 crore were lodged during 2008-09. The position in respect of
major public sector banks which lodged higher number of claims were analyzed (Table. 1) the
data revealed that by June 30, 2009 of the total number of 4116 NPA accounts; claims were
lodged only in 649 accounts which constituted 15.8% of these accounts. The reasons cited by
banks for low level of invocation of guarantees were procedural hassle of filing suit in all cases
as a precondition for lodging claims and due to the prescription of lock-in period of 18 months.
